Terms of Service

1. Acceptance

You may use the Service only if you can form a binding contract with LeadRails and only in compliance with these Terms and all applicable laws. If you are using the Service on behalf of an entity, you represent that you have authority to bind that entity to these Terms.

2. Account

You are responsible for safeguarding your account credentials, signing secrets, and API tokens, and for any activity that occurs under your account. Notify us promptly of any unauthorized access or use.

3. Acceptable use

You agree not to:

• use the Service to send unlawful, harassing, or fraudulent content;
• circumvent rate limits, security mechanisms, or signing requirements;
• route data on behalf of third parties without their consent;
• reverse engineer the Service except where permitted by law;
• upload content containing malware or designed to disrupt other systems.

4. Fees and billing

Paid plans are billed in advance on a recurring basis. Fees are non-refundable except as required by law or explicitly stated in your order form. We may change pricing on renewal with at least 30 days notice.

5. Intellectual property

LeadRails retains all rights, title, and interest in the Service. You retain all rights to the lead data and content you submit ("Customer Data"). You grant LeadRails a limited license to process Customer Data solely to operate the Service.

6. Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADRAILS'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

8. Indemnity

You will indemnify and hold LeadRails harmless from third-party claims arising out of your Customer Data, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

9. Termination

Either party may terminate for material breach not cured within 30 days of notice. On termination your access ends and we may delete Customer Data after a reasonable retention window. Sections that by their nature should survive will survive.

10. Governing law

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules. Venue lies in the state and federal courts located in Delaware.
